Disclaimer

Effective [Oct 22, 2026] · Understand Publishing Inc., operating as Claiming Your Mark™

IN SHORT

  • The Vault helps you organize and date your records. It is not legal advice.
  • It does not replace registration with the Canadian Intellectual Property Office (CIPO).
  • It does not guarantee ownership, protection, or any legal or business result.
  • You are responsible for your records, backups, privacy settings and legal deadlines.
  • Do not share passwords, card numbers, confidential recipes or formulas, or sacred or restricted cultural knowledge with the AI tool.

1. Educational and informational purposes only

Claiming Your Mark™ and The Vault (together, the “System”) provide educational, organizational, and informational resources to help users document, organize, and maintain records relating to their intellectual property and creative or business assets.

The System, including its Vault, templates, worksheets, checklists, video lessons, written materials, exercises, and artificial intelligence (AI) support, is not a substitute for professional advice.

Nothing provided through the System is legal, financial, tax, accounting, investment, or other professional advice. Use of the System does not create a solicitor-client relationship or any other professional advisory relationship.

Users should consult appropriately qualified professionals about their own circumstances before making legal, financial, business, or intellectual property decisions.

2. No guarantee of intellectual property rights or outcomes

The System is a recordkeeping and organizational framework. It does not, by itself, create, establish, register, validate, secure, or guarantee ownership of intellectual property or any other legal right.

Completing the System’s steps, creating records, entering information, or uploading documents does not guarantee:

  • Ownership or enforceable rights in any work, idea, invention, brand, design, trade secret, or other intellectual property.
  • Trademark registration, copyright protection, patent rights, trade secret protection, or other legal protection.
  • Proof of authorship, originality, creation date, ownership, priority, or entitlement.
  • That records will be accepted as sufficient or admissible evidence by a court, tribunal, government authority, registry, funder, investor, or other decision-maker.
  • Successful resolution of an intellectual property dispute, prevention of infringement, or recovery of damages.
  • Funding, investment, licensing, commercial success, revenue, or any other financial or business outcome.

The legal protection available for intellectual property depends on the type of material, the facts, applicable law, and any required formalities or procedures. Users are responsible for deciding what steps are needed to protect their rights.

3. Accuracy, completeness, and verification of records

The System does not independently verify the accuracy, authenticity, originality, authorship, ownership, completeness, or legal sufficiency of information or materials entered, uploaded, or stored by a user.

Users are responsible for making sure their records are accurate, complete, properly dated, and supported by relevant underlying evidence.

Dates entered by hand, file metadata, upload timestamps, and records kept through the System may not, on their own, establish when a work was created, who created it, or who owns it.

Users should keep relevant source materials, supporting documents, and other independent evidence as appropriate to their circumstances.

4. User responsibility and safeguarding records

Users are responsible for their use of the System and for the content they create, enter, upload, store, or share. This includes:

  • Having the legal right and any needed permissions to use or upload their materials.
  • Keeping their records accurate and complete.
  • Managing access permissions, account credentials, and sharing settings.
  • Protecting confidential, sensitive, commercially valuable, or personally identifiable information.
  • Keeping independent backups of important records and original files.
  • Reviewing their recordkeeping and security practices as their circumstances change.
  • Complying with applicable laws, contractual obligations, and third-party rights.

The System should not be treated as the only place irreplaceable records are kept, or as a substitute for appropriate security, backup, or professional recordkeeping arrangements.

5. Artificial intelligence and automated guidance

The System may provide AI-assisted explanations, suggestions, prompts, summaries, or other guidance to help users navigate its educational materials and organize their records.

AI-generated content may be inaccurate, incomplete, outdated, misleading, or unsuitable for a user’s circumstances. It may miss legal requirements, fail to recognize important facts, or reach incorrect conclusions.

AI-generated content is for general educational and informational purposes only. It is not legal advice, a legal opinion, a determination of ownership, or a substitute for advice from a qualified professional who has reviewed the relevant facts and evidence.

Users are responsible for independently checking AI-generated information before relying on it or acting on it. Users should not rely on AI guidance alone for legal deadlines, filings, registrations, enforcement decisions, confidentiality decisions, or other matters with significant legal or financial consequences.

Do not enter the following into the AI tool:

  • Passwords, PINs, payment-card or banking details, or Social Insurance Numbers.
  • Confidential recipes, formulas, methods, or other trade secrets.
  • Sacred, restricted, or community-held cultural knowledge.
  • Privileged legal communications or other highly sensitive or commercially critical information.

The AI tool may be set up to decline or warn about some kinds of sensitive information, but it cannot detect everything. Users remain responsible for what they enter.

6. No legal representation, registration, monitoring, or enforcement

Claiming Your Mark™ is not a law firm, lawyer, trademark agent, patent agent, government registry, or intellectual property enforcement service.

The System does not replace registration with the Canadian Intellectual Property Office (CIPO) or any other intellectual property office or registry.

Unless expressly agreed in a separate written engagement, the System does not provide individualized legal representation, conduct legal searches or clearance assessments, file applications, monitor intellectual property rights, track legal deadlines, maintain registrations, send enforcement notices, negotiate disputes, or take legal action on a user’s behalf.

Users are responsible for identifying and meeting applicable deadlines, renewals, filing requirements, and other legal obligations, and for deciding whether to get professional help.

7. Ownership of user content and licence to the System

Subject to applicable law and the rights of others, users keep the rights they hold in their own original content and records entered into or kept in their Vault.

Nothing in this Disclaimer transfers ownership of a user’s original content to Understand Publishing Inc., operating as Claiming Your Mark™ simply because that content is entered into the System.

The System’s framework, methodology, instructional materials, templates, worksheets, videos, branding, and other proprietary content remain subject to the intellectual property rights of their owners. Users receive only the licence or permissions expressly granted under the applicable Terms of Service or purchase agreement.

Users are responsible for making sure they own, control, or have permission to use any third-party material in their records. Storing material in the Vault does not create ownership of that material or resolve competing claims.

8. Indigenous cultural knowledge and community rights

The System does not determine or establish ownership, authority, consent, access rights, or permission to use, document, reproduce, disclose, commercialize, or share Indigenous cultural knowledge, traditional knowledge, Indigenous cultural expressions, community-held knowledge, or other culturally sensitive materials.

These matters may involve individual, family, community, collective, customary, contractual, and legal considerations that a recordkeeping framework alone cannot resolve.

Users should respect applicable laws, community protocols, cultural responsibilities, confidentiality requirements, and the rights and wishes of the appropriate knowledge holders and communities. Where appropriate, users should seek guidance from the relevant community authorities, knowledge holders, or qualified legal professionals before recording, storing, sharing, or commercializing such materials.

Recording information in the System does not, by itself, establish consent, authorization, ownership, or enforceable protection.

9. Third-party platforms and service availability

The System may rely on third-party platforms and services, including website hosting, cloud storage, AI tools, payment processors, and other technology providers.

Those services have their own terms, privacy practices, security arrangements, limits, interruptions, outages, changes, or discontinuation.

To the extent permitted by law, Understand Publishing Inc., operating as Claiming Your Mark™ is not responsible for the independent acts or omissions of third-party providers, or for service interruptions, data loss, unauthorized access, or other events outside its reasonable control, except where liability cannot lawfully be excluded.

Users remain responsible for understanding relevant third-party terms and settings, keeping appropriate backups, and taking reasonable precautions to protect their records.

10. Limitation of liability

To the maximum extent permitted by law, Understand Publishing Inc., operating as Claiming Your Mark™ will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or related to the use of, inability to use, or reliance on the System, including loss of profits, business opportunities, anticipated savings, goodwill, or data.

To the maximum extent permitted by law, Understand Publishing Inc., operating as Claiming Your Mark™ is not responsible for losses arising from a user’s decisions, omissions, inaccurate or incomplete records, failure to keep backups, failure to get professional advice, failure to meet legal requirements, or misuse of the System.

Nothing in this Disclaimer excludes or limits liability, rights, or remedies that cannot lawfully be excluded or limited, including liability for fraud.

Any additional liability limits, exclusions, or remedies are set out in the Terms of Service and are subject to the law governing the transaction.

11. No waiver of statutory rights

Nothing in this Disclaimer waives, restricts, or excludes any consumer right, statutory protection, or legal remedy that cannot lawfully be waived, restricted, or excluded.

This Disclaimer is to be interpreted subject to applicable federal, provincial, territorial, and other governing laws.
